(the “Purchaser”)
The Seller hereby desires to assign the Receivables defined in Article 1 below to the Purchaser and the Purchaser hereby desires to purchase the Receivables on the terms and conditions set forth in this Agreement (the “Transaction”).
On the Closing Date, the Seller shall notify the Assignment of Receivables in the form attached hereto as Exhibit 1 to the Third Party Debtor.

양수인은 양도인으로부터 본 건 양도채권을 금XXX원(이하 “양도대금”)에 양수하기로 한다. 다만, 양수인은 양도대금의 지급에 갈음하여 양수인이 양도인에 대하여 가지는 외상매출채권을 그 대등액의 범위 내에서 전액 상계하기로 한다. The closing of the Transaction shall take place on April2, 2016 (the “Closing Date”).

제2조[양도대금]
Article 1 [Assignment of Receivables]

On the Closing Date, the Purchaser shall pay to the Seller the Purchase Price concurrently with the performance of the Seller of its obligations set forth in Paragraph 2 above; provided, however, that the Purchaser shall set off the full amount of the Purchase Price against the accounts receivables that the Purchaser has against the Seller in lieu of paying the Purchase Price within the scope of the equivalent amount.
Recitals
양도인은 본 계약에서 정한 조건에 따라 제1조에서 정한 채권을 양수인에게 양도하고자 하며, 양수인은 양도인으로부터 이를 양수하고자 한다(이하 이를 “본건거래”).
